To recap our discussions:
- SKCL believes that the “Jobs & Careers”
section on SKCL portal would be an extremely popular feature amongst
Indian jobseekers and business establishments.
- We believe 3P Consultants are today the foremost
content-provider in India, as far as “Jobs & Careers” is concerned.
The rapidly growing ‘jobs’ and ‘resume’ databases on our 2½ year old
website and the ‘rank’ accorded by leading search-engines is a proof of
this.
- SKCL and 3P share many views / beliefs / principles
as far as customer-service / customer-relations are concerned.
- SKCL wants to become the pre-eminent “Content
Aggregator” and the predominant “Delivery Vehicle” in the area
of e-commerce.
- 3P wants to become the premier “Content /
Service Provider” to millions of young Indians and lakhs of business
through its:
- Partner Program (200 websites by 2001)
- Jobs Program (500 colleges by 2001)
- NACT Program (1000 Computer
Institutions)
- Cyber Café Program (400 Cybercafes)
With the foregoing background, I
enclose for your consideration, a draft MOU, which we should sign at the
earliest. By speedy implementation of this MOU, the SKCL network could expect
to generate revenues, as shown below:

S. Kumars.com Ltd. (SKCL),
belongs to S. Kumars Group of Companies.
SKCL is in the process of setting
up an e-commerce portal that will primarily cater to an Indian audience
and Indian advertisers.
This portal will function both as
an intranet as well as an internet by interlinking:
- 50,000 VAST-enabled kiosks
- Spread over 1500 cities and towns in India
The end-users of this network
will enjoy bandwidth of about 1 MBPS, enabling speedy downloading and
transactions.
Operational Structure
- Kiosks will be managed by independent
franchisees
- Supervised by Strategic Business Associates
(SBA) of SKCL

ROLES
The four major players who are
crucial to the SKCL network are:
- The Franchisee
- The Strategic Business Associate (SBA)
- The Content Partner
- SKCL
The roles of these players are as
follows:
Franchisee's Role
- Franchisees will conduct B2B, B2C and C2C trade
- This will entail booking orders, servicing orders
booked by other franchisees as well as collecting and remitting payments
to the network.
- Typically franchisee will operate from a kiosk,
where customers can walk in to browse, buy and sell and transact through
SKCL network.
SBA's Role
- An SBA is the crucial link between the franchisee
and SKCL. He will coordinate the activities of the franchisees in his
territory. Each SBA will have a certain number of franchisees under him.
- The SBA will act like a market facilitator and
developer for the SKCL network.
- The SBA will be expected to execute SKCL plans in
his area, spread awareness about the network, act as a help desk for his
franchisee's problems.
The Content Partner's Role
- The Content Provider's role is to make available to
the SKCL Portal / network, compelling content / offering of products &
services as agreed, upon and defined in the MOU entered into between SKCL
and the concerned Content Provider.
- The Content Provider will maintain / update all
information / databases pertaining to his products / services on SKCL
portal from time to time.
- Content Provider will arrange for delivery of the
goods / services at the buyer's / purchaser's destination address, against
each & every purchase order received by him from the kiosks of any /
all franchisees of the SKCL network, in accordance with the "Delivery
terms" and the "Payment terms" contained in the MOU entered
into between SKCL and the concerned Content Provider.
SKCL's Role
SKCL's role will comprise of, but
not be limited to, the following:
- Create and operationalise the hub
- Obtain the 50,000 franchisees through an aggressive
advertising campaign.
- Identify and appoint internationally reputed
Vendors / Content Providers.
- Develop a strong and meaningful portal.
- Ensure timely & quality delivery of goods /
services to the buyers / purchasers of SKCL portal / network.
- Ensure smooth and error-free operation of the VSAT
network / portal around the clock.
- Ensure automated / transparent record of each &
every transaction from each & every kiosk, clearly indicating:
- The monetary value of each transaction
- Time / date / venue of the transaction
- Details of purchaser
- Details of purchase
- Details of Content Provider / seller
- Respective shares of the transaction-value between
the franchisee / the SBA / the Content Provider and the SKCL
- Delivery Terms
- Payment Terms
- Payment Receipt Details
- Commercial Terms
- Statutory Levies (ST/CST/Octroi etc.)
- Statutory Deductions (TDS/Service Tax etc.)
- TDS Certificates / Services Tax Certificates etc.
- Warranty / Guarantee covering supply of goods /
services, etc.
By logging into his
"Personal Page" on the portal, a Content Provider will be able to
view, aggregated statistics as well as transaction-history of each & every
transaction pertaining to his offerings.
OBLIGATION / RESPONSIBILITIES
Obligations of 3P
- To design/ develop various “forms” &
“search-engines” targetted towards jobseekers & employers.
- To design/ develop structures for “Jobs databases”
/ “Resume Databases”.
- To design / develop appropriate communications
protocols for sending out emails to concerned parties.
- To develop computer programs/ software as required
for delivering the “content” to jobseekers and employers.
- To develop / upload, topical / relevant content on
the server’s “Jobs & career” section.
- To develop, (if required / desired), links to 3P’s
own independent unix-based website and/or NT based website
- Advise from time to time on pricing strategy
- Provide domain knowledge of recruitment processes.
Obligations of SKCL
- To make available to 3P, the required server-space
for creation of “Jobs & career” section.
- Thru appropriate password, permit 3P to “access”
the “jobs and career” section for the purpose of uploading / deleting /
maintaining various databases and services.
- To design/develop/install automatic/ transparent
“Transaction History “ tracking software, in consultation with 3P, as far
as all “ Jobs & careers” related transactions are concerned.
- To remit to 3P, its share of the
transaction-revenue, within 7 days of the month-end, for the preceeding
month.
LINKAGE
The linux server of SKCL and the
NT server of 3P will be linked as shown in
DIAGRAM A
This will enable:
- Only resume to flow from Linux server to NT server.
- Only jobs-adverts. to flow from NT server to Linux
server.
These “ONE-WAY” flows has the
following advantages:
- By the time VSAT network of SKCL is launched, 3P
expects to link-up its NT website with some 200 Partner websites. By end
of 2001, this number could grow to 500 websites.
- Headhunters (recruiters) from these 500 websites
would be conducting “resume-search” on the common / central resume
database residing on:
www.3pjobs.com
- This means, any resume lying in this database, has
a very high probability of getting “short-listed”, since it is
simultaneously “accessible” from as many as 500 websites.
- By merging resumes posted by jobseekers on SKCL
portal, with 3Pjobs.com database, two things will happen:

Chances of these jobseekers
finding a job will vastly improve. When this news spreads, by word-of-mouth,
amongst citizens of 1500 towns, SKCL kiosks will become the most popular place
amongst the towns people to conduct all kinds of business transactions.
# 2
Since 3pjobs.com will share its
"Professional fees" (earned by placement of the SKCL candidates or
sale of these resumes to its corporate clients), SKCL will greatly enhance its
revenue. This professional-fees will be shared, only between SKCL & 3P.
Since job-adverts posted by corporates on 3pjobs.com, will also become
“accessible” to jobseekers conducting online job search on SKCL network, from
day one, this will make available a very large JOBS DATABASE to SKCL
jobseekers.
And this JOBS DATABASE is expected to grow very rapidly once 500 partner
websites of 3Pjobs.com come into action.
Although advertiser name / contact information will remain hidden on
www.3pjobs.com, this information will be openly / freely made available to
jobseekers of SKCL. They will be able to directly apply to the job-advertisers.
Considering that no serious job seeker ever visits a jobsite which has a
meager JOBS DATABASE, starting off with a large and evergrowing JOBS DATABASE,
would immediately and enormously “leverage” SKCL network amongst millions of
job seekers.
This advantage must not be over looked.

REVENUE – SHARING
For various “JOBS & CAREERS”
related transactions, taking place at the Kiosks of the franchisees, the
formula for sharing revenues is illustrated below (Diagram B).
As far as SKCL resumes getting
shortlisted by recruiters visiting
www.3pjobs.com
is concerned, revenue collected
by 3P from such recruiters will be shared with SKCL as follows:
A. In case of “Sale” of such
resumes to recruiters:
- SKCL will receive 50% of “Sale-proceeds”
- 3P will retain 50% of “Sale-proceeds”
B. In case of “Placement” of
such candidates with an employer
(who has accepted 3P’s terms for
value-added service of preliminary interviewing/shortlisting against payment of
“Professional Fees” ranging from 8% to 20% of annual salary):
- SKCL will receive 10% of Professional Fees
- 3P will retain 90% of Professional Fees

of “Submit Resume” revenue, instead of sharing 50% with SKCL.

TIME – FRAME
3P will create and upload various
contents on the “Jobs & Career” section of SKCL portal, as follows:

Within 3 months of the
receipt of “Content Creation Fees” from SKCL
Complete upload
Within 3 months from the
starting date
RESIDUAL LIABILITIES
When this MOU ceases to exist
whether by expiry or by termination, both parties explicitly undertake to
discharge their respective liabilities / obligations to each other and their
obligations to any third party arising out of the conditions of this MOU.
DISPUTES
In the case of any dispute or
difference of opinion arising between the Partner and 3P, the same shall be
referred to arbitration under the provisions of the Arbitration and
Conciliation Act, 1996.
SUCCESSION
3P at present is a partnership
company. It is in the process of registering a “private limited” company,
which, in due course of time, will take over the business of the partnership
company.
Mr. H. C. Parekh and Mr. Nirmit
Parekh, the existing partners, will continue to jointly hold the majority stake
in the private limited company being formed.
The private limited company will
be the heir and successor of the partnership firm and this MOU will be binding
on it and will be implemented by it.
DURATION / TERMINATION
- This MOU will come into effect from the date of
signing.
- The duration of the MOU will be for a period of 2
(two) years from the date of launch of commercial-transaction services
on SKCL network.
- This MOU can be extended for any mutually
agreed-upon period. Unless extended, it will automatically stand
terminated at the end of the 2-year period.
- Either party can terminate this MOU by giving the
other party a written notice of 3 (three) months.
