ASSOCIATE PROGRAM AGREEMENT (ASOPRA)
RECITAL

This agreement is entered into between
1.  3P CONSULTANTS

An executive-search firm located at B-1, Lok Bharati Complex, Marol Maroshi Road, Andheri (East), Mumbai – 400 059 (hereafter reffered to as 3P)
And

2.NATIONAL ASSOCIATION OF COMPUTER TRAINERS

An organization devoted to promotion of Computer Education and located at Unit #2, Gr. Floor, Martin Lui Society, Sitaladevi Temple Road, Mahim, Mumbai – 400 016 (hereafter referred to as NACT)

1) 3P CONSULTANTS

3P Consultants are a well-known executive-search firm whose Corporate-Clients are spread all over India & abroad. They are also a member of FOSTER PARTNERS GLOBAL NETWORK which operates from over 40 countries around the world. During the past 10 years, 3P have executed hundreds of search-assignments for placement of middle & senior-level executives with a large number of blue-chip Corporates of India.

3P are also the owners of a very popular job-related website


This 2-year-old website hosts following online searchable database:

·      48000+ resume database
·      4800+ jobs database

         This website permits:
         JOB-SEEKERS
-    To post resume
-    To edit resume
-    To search jobs database

RECRUITERS

-    To post job-advt
-    To search resume database (headhunt)
- To shortlisted candidate & foreward a "shopping basket" to 3p as an executive search assignment

With more then 10,000 hits / day, websites has emerged as the most frequented / utilized jobsites by jobseekers as well as recruiters.

For executing an executive-search assignment received thru its website, 3p has a backoffice staff of 35 professionals occupying 2000 sq.ft. of office space.

2) NACT

NACT is the only professional body representing over 1000 Computer Education / Computer Training, Colleges / Classes / institutions of India (hereafter referred to as CEI = Computer Education Institution).

Between them, these CEI’s impart computer-related training to more than a million students each year.

These CEI’s are spread all over the country and conduct part-time / full-time courses. These courses range from a few weeks’ upto ¾ years. The students undertaking these courses comprise of :

Ø Undergraduate
Ø Fresh graduates
Ø Working professionals

A few large CEI’s have franchisees in several towns. They also have their own "placement-sections" to help the students get job upon completion of training.

However, a vast majority of CEI’s have no full-time / part-time staff-member to assist the students in their efforts to get a job.
Considering that a CEI’s reputation is closely linked with:

Ø How many of its students get job upon completion of training
Ø How soon they get the job
Ø Where they get the jobs (India /Abroad)
Ø At what salary they get the job,

Both, the CEI’s and NACT are quite concerned with this matter and are very keen to find a job-placement solution which

Ø  Is simple / automatic / effortless (minimum effort on part of CEI’s)

Ø Expose its students to Corporate Recruiters from all over the World

Ø   Provides an ideal  "fit" between the “skills” of the students and the “needs” of the recruiters by enabling the students to project a very comprehensive profile

Ø Alerts a student (thru email) of suitable job-opening from around the world (including "part-time" jobs) the moment these are announced

Ø  Enables the CEI’s (at least the bigger ones) to recover most of the expense incurred by their internal "placement office" thereby making this effort "self financing".

Through this agreement, 3P and NACT will jointly work towards implementation of such a solution

OBJECTIVE

v    CEI’s (who are members of NACT) would like to help their students find jobs.

v    CEI’s would also like to make their "placement office" self-financing by earning revenues from placement of students.

v    With the foregoing objectives, CEI’s would like to take help of 3P in this manner. Being apex organization of member CEI’s, NACT will co-ordinate this effort between CEI’s and 3P.

v     Since it is not practical for hundreds of CEI’s to enter into individual agreements with 3P, it is agreed that NACT, representing all member-CEI’s, will enter into a single, comprehensive agreement with 3P, on behalf of all member CEI’s.

v    On their part, each member CEI will confirm to NACT in writing its acceptance of the terms / conditions / obligations of this agreement and agree to abide by the same.

v     A member CEI, failing to send such a written confirmation to NACT, will not be considered as a “party” to this agreement and will not be eligible to receive from 3P, the "Member Commission", if and when 3P succeeds in finding a job for one/ more of its students. In such a case, even NACT will not be eligible to earn “NACT Commission”.

v    Within 60 days of the signing of this agreement, NACT will foreward to 3 P, comprehensive list of all the "confirming" member CEI’s, based on the confirmation-letters received by it. Once this 60-day period gets over, no new names will be permitted to be added unless such a CEI has actually become a member of NACT during this period, or at any time thereafter.

v    Upon receipt of this list from NACT, 3P will allot to each CEI on the list, a unique CEI CODE NO. which 3P will display on the “Submit Resume” Form for the guidance of the students.

METHODOLOGY

·   Immediately upon signing of this agreement, NACT will circulate amongst its member CEIs, a "summary / extract" of the agreement and obtain "acceptance / confirmation" from each member and submit to 3 P, the list of the "confirming members" within 30 days of the signing of this agreement.

·    3 P and NACT will jointly design ? develops the "submit Resume" form. Thereafter-

Ø NACT will send this form to its confirming members on a floppy

Ø 3 P will upload it on its website along with the "Confirming Member Code Number-CMCN"

Ø 3 P will inform NACT, and each confirming member, its unique CMCN.

·   Through notice-boards / individual circulars etc., each CEI will inform its students to submit their resumes online on


·   Students must take special care to click on the CMCN of the CEI in which he / she is currently studying / enrolled.

·  The names of the CEIs and their corresponding CMCN, will be shown in drop-down list on the "submit Resume" form.

·    It is very important for the CEI to ensure that their students click on the correct CMCN. Any wrong entry (on part of the student) will deprive the CEI of its "Member Commission",

·   Each & every student submitting his resume online on 3pjobs.com will be allotted  a unique Permanent Executive Number = PEN. Each PEN will be linked with a unique CMCN. Under no circumstance will a PEN get linked to more than one CMCN.

·    If a student is undergoing two (or more) courses in two (or more) different CEIs simultaneously and submits his resume twice, each time entering the names of different CEIs, then it is possible that he may get allotted, two unique PEN, each linking him with a different CEI.

In such an event, payment to CEI (Member Commission) will strictly depend upon "which PEN got shortlisted by the headhunter during online headhunt? Only the CMCN (CEI) linked with that particular PEN will be entitled to the "Member Commission". However, it may happen that during online headhunt, both PEN get shortlisted (both of which belongs to the same student) – each of which is linked to a different CEI.

In such a "tie", the principle of
"First come, first Served"
Will be applied.

The resume (and therefore the corresponding PEN) which was chronologically submitted earlier, will be considered "eligible". The CMCN, which is linked to this PEN, will be entitled to “Member Commission”.


It is clearly understood that in respect of given student,

Ø Member Commission will be paid only once
Ø Member Commission will be paid to one member only

·  As soon as 3 P enters into contract with a Corporate headhunter, (whether through an online headhunt or thru an offline search assignment) it will find out from the concerned Corporate Personnel Manager, who / which students, the company wishes to interview.

·   Based on this, 3P will send out interview-calls to the concerned students (thru e-mail only) informing them of the date / time / venue of the interview along with some details of the job and the Company (potential employer).

·  Each Interview-call will carry a unique "number" (Interview Call Number – IVN)

·  Quoting this ICN, the concerned students will confirm (thru email) to 3 P that they are attending this interview.

·   3 P will mark to the concerned CEI, a copy of the interview-call email

·  The student shall mark to the CEI, a copy of the interview-confirmation email. A student failing to send in such a confirmation.
Or
Failing to attend the interview after having confirmed, may be debarred from further interviews or may have his resumes removed from the online database.

·   If the interview are to be held on the premises of a CEI, 3 P will send the interview-schedule to the CEI who will

-    Display the same on the notice board
- Obtain confirmation from each "interviewee" (student)
-    Send confirmation to both, 3 P as well as the interviewing company
-    Provide physical facilities / arrangements for conducting the interviews.

·   3 P will ask its Client Corporation to issue the appointment-letters to the selected students, thru 3 P only.

·   3 P will foreward it to the concerned student and mark a copy to concerned CEI.

·  When a student joints duty with 3 P’s Client Corporation, he should inform 3 P as well as concerned CEI in writing. Only thereafter, 3 P will keep the CEI informed of the interview attended by the student, through a monthly statement titled

" Interview attended by your students during the month of _____

·  3 P will also make available to each CEI participating in this program, a monthly statement, titled

" Your students appointed thru 3 P, during the month of _______

·  If there are no interviews or no appointments during a month for a given CEI, corresponding statements will not be issued.

ANNOUNCEMENT BY EDUCATION INSTITUTE (CEI)

·    If a CEI has its own Internet Website, then, on the "Placements" page of such a website, it will insert the following paragraphs:

"This Institution / College has entered into an agreement with 3 P Consultants – Mumbai, whereby the Institute have appointed 3 P Consultants as its Preferred Placement Agency. Resumes of all the graduating students of all branches / disciplines / courses / batches / subjects etc. are uploaded on the website of 3 P Consultants viz.


Recruiters of Corporations / Companies seeking to interview / select / appoint final year students of this Institution are requested to conduct an online headhunt on the "Final year student’ Resume Database" (NACT Member Computer Edu. Institutions) of


The Recruiters will need to directly settle 3 P Consultants, the professional fees payable to 3 P in respect of any students / fresh graduates short-listed by the Company concerned, for placement / appointment in its organization.

This Institution will, however, offer interview facilities on its campus to the Corporate Clients of 3 P Consultants, based on interview – call e-mails issued by 3 P Consultants to our students (cc: the Placements Office / Principal / Director of the Institution). This Institution will offer all assistance to the Corporate Clients of 3 P Consultants  in the conduct of the interviews. The Corporate Clients of 3 P Consultants are not required to pay any fees / service charges to the Institution for such campus interview facilities.

After the Campus interview are conducted, the Corporate Client of 3 P Consultants will issue appointment-letter to the students only through 3 P Consultants, who will send a copy to this Institution.

The professional-fees payable by the Corporates for utilizing the searching / shortlisting services of www.3pjobs.com, are to be paid directly to 3 P Consultants without any reference to this Institution”.
If a CEI does not have a website of its own, it will incorporate the above-mentioned paragraphs in its Placements Brochure / Literature etc.

PERIOD / TERMINATION OF AGREEMENT

Initially this agreement will be valid for a period of 2 years from the date of signature. It may however be renewed for a further period of 2 years by mutual agreement / exchange of letters.
Either party may terminate this agreement by giving to the other party, a notice to this effect of 2 months.

INTELECTUAL PROPERTY RIGHTS

Any resume submitted by any students of any member CEI, will be the intellectual property of 3 P only upon the payment in full is made by 3 P to NACT & CEI, as agreed herein.

RESIDUAL LIABILITY

Even after this agreement comes to an end, 3 P accepts the liability to make commission-payments to CEI’s / NACT in respect of those students who were issued appointment-letters by 3 P’s Corporate-Clients, during the pendency of this agreement, provided

- Such students join the concerned employers

And

- 3 P successfully collects its professional-fees from these employers.

PUBLICITY

Though this agreement, NACT and its member CEI’s have agreed to grand to 3 P, the status of its

PREFERRED PLACEMENT AGENCY

NAVT and member CEI’s will publicize this arrangement amongst the
-    Student community
-    Corporates
-    General Public

Thru all the means / media available to them and in accordance with their publicity budgets.

On its own parts, 3 P will also publicize this agreement / arrangement as widely as possible and consistent with its own publicity budget.

All the concerned parties will bear their own expenses in this regard.

3 P, NACT and any of the CEI, having its own website, will devote a special page on its website to publicize this agreement / arrangement.

MEMBER COMMISION / NACT COMMISION

Corporate Recruiters  conducting online headhunt on the website of 3 P will fill in & foreward to 3 P, a shopping basket containing (PEN) Permanent Executive Number of final year / final semester students, but without names / contact information of shortlisted students.

Some of these shopping baskets may get converted into an executive search assignment, if the concerned Corporate accepts / confirm 3P’s terms ? professional fees.

After such an executive-search assignment gets executed, 3P will raise an invoice (for Professional Fess) on the concerned corporate and receive payments for appointment of one or more final year / final semester students.

Out of such professional-fees payments received by 3 P, it will pay to the concerned CEI, 20% of the fees received by per each student appointed by its client and for whose appointment it has received its professional fees. 3 P will also pay to NACT, 10% of the fees received by it for every such placement.

Obviously, these payment would be in respect of the final year / final semester students of the particular CEIs, who have submitted their resume online on 3 P’s website.

The final year / final semester student’ resumes will be maintained in the

A "Final Year Student’ Resume Database" (NACT Member Computer Education institutions) for a period of one year from the date of entry. Thereafter, these will get automatically transferred to 

B. "Other Professionals database"  or   "Software Professionals’ database"

Once the resumes get transferred from A to B, at the end of above-mentioned one year, 3 P will not be liable for payment of any commission to a CEI/NACT in respect of placement of such students with any of its clients in future.

As soon as a student gets placed / appointed with any client of 3 P, during the course of the above-stated one-year period, his/her resume will be rendered  "inaccessible" to the headhunters, through appropriate software, so that, during the course of this one year period, he / she does not get appointed more than once. The student concerned, would, however, be able to "edit" his / her, own resume even when the resume is “inaccessible” to others.

The payment to CEI & NACT will be made within 30 days of 3 P receiving its professional fees from its client.

3 P will disclose to NAVT from time, the professional fees charged and collected by it from clients. The payments to CEI and NACT will be made within 30 days of 3 P receiving its professional-fees from its clients.

The share of NACT and member CEI of the professional fees as agreed herein, shall be paid by 3 P on a pro-rata basis, as and when received from the client. Any "advance / minimum search fees /retainership fees / progress-payments" etc. are part and parcel of  "professional-fees", even if received by 3 P at different points of time, in respect of a "search-assignment"

Any  "out-of-pocket" expense incurred by 3 P during order execution and reimbursed by a client to 3 P, will not form part of professional fees.


EXCLUSIVITY

During the pendency of this agreement, NACT shall not enter into a simial arrangement / agreement with any other website or any other party/ person.


However, a confirming CEI will be free to provide jobsearch / placement assistance to its students through
  • own inhouse placement efforts
  • entering into arrangements / agreements with any recruitment / placement agency
